2.Acceptance#

  1. 2.1#

These Terms are an agreement between you and Bitight. By ticking the acceptance box under clause 2.3, you accept these Terms and our Privacy Policy.

  2. 2.2#

You accept these Terms in your own name and for your own personal use, as set out in clause 3.4.

  3. 2.3#

Before you can use the Service, you must tick the box confirming that you accept these Terms and our Privacy Policy and that you use the Service for your own personal use. We record the version you accepted and the time of your acceptance. You accept these Terms once, as set out in clause 16.2.

3.Eligibility#

  1. 3.1#

You must be at least 18 years old, and have the legal capacity to enter into these Terms, to use the Service.

  2. 3.2#

    Sanctions.

    1. (a)

You may use the Service only if you are not located in, ordinarily resident in, or organized under the laws of a Restricted Territory, and are not an entity that such a person owns or controls.

    2. (b)

You may use the Service only if you are not on the SDN List, and are not an entity owned 50% or more, directly or indirectly, by persons on the SDN List.

    3. (c)

You confirm that you meet clauses 3.2(a) and 3.2(b), and that you will not use the Service from or for a Restricted Territory, including by using a VPN or otherwise disguising your location.

    4. (d)

To the extent the law allows, we may refuse, suspend or close an Account if we reasonably believe that it does not meet this clause 3.2. The Service then stops passing on the requests of its Agents.

    5. (e)

We may update the list of Restricted Territories by updating these Terms.

  3. 3.3#

If the law requires it, we may ask you for identity information and suspend your Account until you provide it.

  4. 3.4#

An Account is for the personal use of one individual. You must not share your Account, or access to it, with staff or any other person.

4.The Service#

  1. 4.1#

The Service is software that lets an Agent pay for tools and data in USDC on the Network. Your USDC is held in your Agent Wallet, and your Agents pay from it within your Limits.

  2. 4.2#

The Service is software only. It works only with USDC on the Network and does not exchange currencies.

  3. 4.3#

Bitight is not a bank. USDC in your Agent Wallet or at an Agent Address is not a deposit with us.

  4. 4.4#

The Service does not provide financial, legal or tax advice.

  5. 4.5#

We may change, suspend or discontinue the Service or any feature of it. We will give you reasonable notice of a change that materially reduces the Service, unless the change is required by law or for security reasons. If we discontinue the Service, you can still recover your USDC as described in clause 15.4.

  6. 4.6#

Beta Features are provided for evaluation. They may be incomplete, may contain errors, and may change or end at any time without notice. Section 12 applies to them in full.

5.Agents, the Agent Wallet and Agent Addresses#

  1. 5.1#

Your USDC is held in your Agent Wallet, except while a Payment passes through an Agent Address under clause 5.4. Only Your Wallet owns your Agent Wallet, and only you hold the keys to Your Wallet.

  2. 5.2#

Each Agent has its own Agent Address, whose key is held by the Wallet Provider. When an Agent pays, its request reaches the Wallet Provider through the Service, and the Wallet Provider signs the Payment. The Network holds each Agent's Payments from your Agent Wallet to your Limits.

  3. 5.3#

Besides Payments, an Agent Address makes a few transactions that keep it working and return money to you: a setup, so it can work under your Limits; returning USDC that no Seller took to your Agent Wallet; and turning the Agent off on the Network, which ends its Limits and moves no money. The Wallet Provider signs these, as it signs Payments. Each pays its own Network Fee in USDC from the Agent Address.

  4. 5.4#

When your Agent pays a Seller, the price and its Network Fee first move, within your Limits, from your Agent Wallet to that Agent's Agent Address, and your Agent then pays the Seller from there. This normally takes seconds. Any amount the Seller does not take returns to your Agent Wallet later. Your Agent's Agent Address may keep a very small balance of USDC for Network Fees. A Payment to a recipient that is not a Seller is made directly from your Agent Wallet.

  5. 5.5#

By connecting an Agent, you authorize it to make Payments for you within its Limits. Payments an Agent makes within its Limits, and approvals and other actions taken through your Account, your Agents or your connected chat apps, are treated as made by you, and you are responsible for them.

  6. 5.6#

An Agent may misinterpret your instructions and make a Payment you did not intend. We do not run your Agent's AI, and we do not review what an Agent buys or why. Agent Output may be inaccurate or incomplete. You must check Agent Output before you rely on it, and you rely on it at your own risk.

  7. 5.7#

Anyone who can use the chat app connected to an Agent can cause it to pay, up to its Limits, until you turn the Agent off. You must keep that chat app secure.

  8. 5.8#

When an Agent you added on our website holds no Limits, the Service gives it a pairing link to show you. It works once, for one Agent Address, and only while you are signed in to the Account that added the Agent. It stops working once used, or when that Agent is turned off. Opening it grants nothing: Limits apply only after you name the Agent, choose Ask Mode or Auto Mode, set the per-Payment and per-day amounts, and sign once with Your Wallet on the pair page. A page that looks like ours but is not can ask for that signature; check the address bar before you sign. We are not responsible for Limits you sign on a page that is not ours.

  9. 5.9#

You must keep Your Wallet and its recovery phrase safe. If you lose them, your USDC cannot be recovered.

  10. 5.10#

You are responsible for all activity on your Account. If you believe that your Account, Your Wallet or a connected chat app has been compromised, you must turn off your Agents and notify us without delay under clause 18.1.

6.Limits and Ask Mode#

  1. 6.1#

Limits take effect when you sign them and apply to every Payment. The Network enforces the amount per Payment and the amount per day. No Payment can exceed them. The price of a Payment and its Network Fee together must fit within the amount per Payment, and the Network Fee also counts toward the amount per day. Only a new signature from Your Wallet changes them.

  2. 6.2#

In Ask Mode, an Agent waits for your approval before each Payment. You answer only with Yes or No on the payment card that the Service shows in your chat app. If you do not answer within 10 minutes, the Payment is refused. If your chat app does not show the card, the request runs out after 10 minutes and nothing is paid.

  3. 6.3#

You may turn an Agent off at any time. The Service stops passing on its Payment requests at once. The matching change on the Network may take longer to complete. Turning an Agent off does not reverse Payments already made.

7.Payments and Finality#

  1. 7.1#

A Payment on the Network is final and cannot be reversed.

  2. 7.2#

A Payment sent to a wrong address cannot be recovered.

  3. 7.3#

Each Payment may carry a Network Fee, paid from your Agent Wallet to a Service Provider. No part of it goes to us. While the Service operates, you do not need any other token to pay it. To move USDC out of your Agent Wallet without the Service, you need a small amount of ETH on the Network to pay the Network Fee.

  4. 7.4#

Steps you take yourself, such as adding USDC or moving it back to Your Wallet, also carry a Network Fee.

  5. 7.5#

You are responsible for any taxes that apply to your Payments and to what your Agents buy, and for reporting them to the relevant authorities.

8.Plans and Fees#

  1. 8.1#

Free: Ask Mode only, 1 Agent, 1 Payment a day (a calendar day in UTC). The Free Plan needs no payment card and has no end date.

  2. 8.2#

Personal (coming soon, not on sale yet): $9.99 a month, 1 Agent, Ask Mode or Auto Mode.

  3. 8.3#

Pro (coming soon, not on sale yet): $29.99 a month, up to 5 Agents, Ask Mode or Auto Mode.

  4. 8.4#

More than 5 Agents: contact us.

  5. 8.5#

Prices are in US dollars. Once paid Plans are on sale, they are billed monthly through our payment company.

  6. 8.6#

We charge no fee on Payments.

  7. 8.7#

A cancellation or downgrade takes effect at the end of the period you paid for.

  8. 8.8#

On a downgrade to fewer Agents, you choose which Agents stay. At the end of the period, the others are turned off and removed. The Network Fee for each turn-off is paid from your Agent Wallet.

  9. 8.9#

If a payment for your Plan fails, your Agents stop paying at once until billing is fixed. You may still turn an Agent off.

  10. 8.10#

You may withdraw from the purchase of a paid Plan within 14 days of the date of purchase. On withdrawal, we refund the full amount you paid for that Plan, with no deduction for the period before you withdrew.

9.User Obligations and Prohibited Use#

  1. 9.1#

    You must not:

    1. (a)

      use the Service for anything illegal, including money laundering and terrorist financing;

    2. (b)

      use the Service to evade sanctions;

    3. (c)

      buy or sell anything that infringes the rights of others;

    4. (d)

      use an Agent to defraud, overload or attack any Seller;

    5. (e)

      use another person's wallet, Account or chat app without their permission;

    6. (f)

      try to get around the Service's security, sign-in or Limits;

    7. (g)

      resell the Service;

    8. (h)

      copy, modify, decompile or reverse engineer the Service, except to the extent the law allows despite this restriction;

    9. (i)

access the Service by automated means other than through an Agent connected under these Terms, or interfere with or overload the Service; or

    10. (j)

test or probe the Service for vulnerabilities, except as our Security Statement allows.

  2. 9.2#

You must comply with all laws that apply to your use of the Service, including export control and sanctions laws.

10.Third-Party Services#

  1. 10.1#

Tools and data an Agent buys come from Sellers. Any purchase is between you and the Seller, including refunds.

  2. 10.2#

We rely on Service Providers to provide the Service. Our Privacy Policy names those that receive your Personal Data. Their own terms may apply to you.

  3. 10.3#

To the extent the law allows, we are not responsible for Sellers, Service Providers, your chat app, or the Network.

  4. 10.4#

Problems are handled as follows: (a) the Service, including a Payment request it passed on, by us; (b) a purchase, by the Seller; and (c) what an Agent did or said, by the maker of your chat app.

  5. 10.5#

Any list of Sellers that we show is for information only. It is not an endorsement, and we do not check the Sellers on it.

  6. 10.6#

Your Personal Data may be transferred to and processed in the European Union. Our Privacy Policy describes who Processes your Personal Data and how we protect transfers of it.

11.Risks#

  1. 11.1#

The Network may slow down or stop.

  2. 11.2#

USDC is issued by a third party. Its value or rules may change.

  3. 11.3#

Service Providers may be unavailable or pause their service. Software, ours or theirs, may contain errors.

  4. 11.4#

If the Service were compromised, false Payment requests could reach the Wallet Provider through it. The Network holds each Agent's Payments to your Limits, so such requests could pay up to those Limits, and no more, until you turn the Agent off. Lower Limits reduce the amount at risk.

  5. 11.5#

While any of these events lasts, or while the Service is unavailable, an Agent may be unable to pay. USDC in your Agent Wallet and your Limits are not affected.

12.Disclaimers#

  1. 12.1#

The Service is provided "as is" and "as available", without warranties of any kind, to the extent the law allows.

  2. 12.2#

To the extent the law allows, we do not warrant that the Service will be uninterrupted, timely, secure or free of errors, or that any Agent Output, Seller or Payment result will be accurate or meet your needs. We may interrupt the Service for maintenance.

13.Limitation of Liability#

  1. 13.1#

To the extent the law allows, we are not liable for indirect or consequential loss, including lost profits, arising from use of the Service, delays on the Network, or changes in the value of digital assets.

  2. 13.2#

To the extent the law allows, our total liability to you for all claims arising out of or in connection with these Terms or the Service is limited to the greater of (a) the fees you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) US$100.

  3. 13.3#

Nothing in these Terms limits any liability or right that cannot be limited by law.

  4. 13.4#

We are not liable for any failure or delay in performing these Terms caused by events beyond our reasonable control, including failures of the Network, Service Providers, telecommunications or the internet, cyberattacks, acts of government, war, terrorism, civil unrest, natural disasters, epidemics and labour disputes.

  5. 13.5#

To the extent the law allows, we are not liable for loss caused by Payments made within your Limits, by Agent Output, or by your failure to keep Your Wallet, its recovery phrase, your Account or a connected chat app secure.

14.Indemnity#

  1. 14.1#

You will indemnify us against all claims, losses, liabilities, damages, costs and expenses, including reasonable legal fees, arising out of or in connection with: (a) your breach of these Terms; (b) your breach of any law; or (c) any action that your Agents take within your Limits, which clause 5.5 treats as your own action.

  2. 14.2#

Clause 14.1 applies in full to Users who are not Consumers.

  3. 14.3#

If you are a Consumer resident in the United Kingdom, the European Union or the European Economic Area, clause 14.1 applies to you only to the extent that mandatory law allows.

15.Suspension and Termination#

  1. 15.1#

You may stop using the Service at any time.

  2. 15.2#

We may suspend or close your Account, and stop the Service passing on the requests of your Agents, if you breach these Terms, if we suspect fraud or misuse, if needed to protect the Service, other Users or third parties, or when the law requires. We will give notice where the law allows.

  3. 15.3#

If your Account is suspended or closed, the Service stops passing on the requests of your Agents. Your USDC stays in your Agent Wallet. While your Account is suspended, you may move it to Your Wallet. After you close your Account, you may move it to Your Wallet through the Service only as set out in clause 15.7.

  4. 15.4#

If Bitight ceases to operate, you can still recover your USDC as described in our Security Statement. You will need a small amount of ETH on the Network to pay the Network Fee.

  5. 15.5#

Sections 7, 12, 13, 14, 17 and 19, clauses 15.3 and 15.4, and any other provision that by its nature is intended to survive, continue to apply after your Account is closed or these Terms end.

  6. 15.6#

You may close your Account with the Close account button in your account settings. After you confirm, you are signed out and your Account is closed.

  7. 15.7#

For 14 days after you close your Account, you may cancel the closure by signing in again, and you may move your USDC to Your Wallet through the Service. After those 14 days, the closure is final and you can no longer move your USDC through the Service. When your Account closes, USDC left at each Agent Address is sent to Your Wallet, less the Network Fee for that transfer. Up to one Network Fee may stay at the address, and USDC that cannot be sent stays there. Because only Your Wallet owns your Agent Wallet, you can still move your USDC without the Service, as described in section 4 of our Security Statement.

  8. 15.8#

After those 14 days, all data of your Account is deleted, except the records of money movements that the law requires us to keep. We keep those records for 7 years from each record's date.

16.Changes#

  1. 16.1#

We may change these Terms from time to time. The version and date at the top of these Terms show the current version and the date it takes effect.

  2. 16.2#

You accept these Terms once, when you create your Account. We do not ask you to accept them again when they change, and a change does not stop you or your Agents from using the Service.

  3. 16.3#

When we change these Terms, we email you at the address on your Account with the new version and the date it takes effect. For a material change, we send that email at least 30 days before that date. A change required by law, or made for security reasons, may take effect sooner.

  4. 16.4#

The changed Terms apply from the date they take effect. If you do not agree to a change, you must stop using the Service, and you may close your Account under section 15, before that date.

  5. 16.5#

Nothing in this section limits the protections and rights you have under clause 17.3.

17.Governing Law and Disputes#

  1. 17.1#

The laws of Israel govern these Terms and any dispute arising out of or in connection with them.

  2. 17.2#

The competent courts of Tel Aviv-Jaffa, Israel, have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to clause 17.3.

  3. 17.3#

If you are a Consumer resident in the European Union, the European Economic Area, the United Kingdom or any other country whose law gives you mandatory consumer protections, nothing in these Terms deprives you of those protections, and you may also bring proceedings in the courts of your country of residence.

  4. 17.4#

Before starting proceedings, you agree to contact us under clause 18.1 and to give us 30 days to try to resolve the dispute. This does not limit any right you have under clause 17.3 or any urgent relief a court may grant.

18.Notices and Contact#

  1. 18.1#

    Questions about these Terms: support@bitight.com.

  2. 18.2#

We may send you notices by email to the address on your Account or in the Service.

  3. 18.3#

You agree to receive notices, disclosures and other communications from us electronically. They satisfy any legal requirement that they be in writing.

  4. 18.4#

Notices to us must be sent to the email address or postal address in clause 18.1.

19.Miscellaneous#

  1. 19.1#

The Service, its software, site and name belong to us, except parts licensed from others under their own licences. You may use them only to use the Service.

  2. 19.2#

Portions © 2025 Reown, Inc. All Rights Reserved.

  3. 19.3#

If any part of these Terms is found unenforceable, the rest remains in effect.

  4. 19.4#

If we do not enforce a right, we do not waive it.

  5. 19.5#

You may not transfer your rights under these Terms without our consent. We may transfer ours as part of a sale or reorganization of our business.

  6. 19.6#

These Terms and our Privacy Policy are the whole agreement between you and us about the Service.

  7. 19.7#

You may give us Feedback. We may use Feedback for any purpose, without obligation or payment to you.

  8. 19.8#

These Terms give no rights to any third party.

  9. 19.9#

Nothing in these Terms creates a partnership, joint venture, employment or agency between you and us.

  10. 19.10#

If we provide these Terms in another language, the English version prevails, unless the law requires otherwise.

  11. 19.11#

Headings are for convenience only. "Including" means including without limitation.
